Terms of Use for Heirapi Integration Services

These terms govern how you access and use Heirapi's API bridge design, deployment, and support services. Read them carefully before engaging us for any legacy system integration work.

Scope of Services

Heirapi provides custom API development, secure network bridge architecture, and integration consulting for connecting modern corporate networks with legacy mainframe systems. Each engagement is defined by a written statement of work that specifies deliverables, technical requirements, and acceptance criteria. Services do not include ongoing operation of your infrastructure unless separately agreed.

Client Responsibilities

You agree to provide accurate documentation of your existing systems, reasonable access to test environments, and timely responses to technical questions. You are responsible for maintaining the security of credentials you share with us and for obtaining any internal approvals required before we begin work. Delays in providing access or information may affect project timelines.

Acceptance and Delivery

Deliverables are considered accepted when they meet the criteria defined in the statement of work and pass the agreed testing procedures. We provide a defined review period after each milestone so you can verify the integration against your own requirements. If issues are identified during this period, we address them as part of the engagement scope.

Limitation of Liability

Our liability is limited to the fees paid for the specific engagement giving rise to a claim. We are not liable for indirect damages, loss of data, or business interruption resulting from use of the integration, even if we were advised of the possibility. This limitation does not apply where prohibited by applicable law in Australia.

Intellectual Property

Upon full payment, you receive a perpetual license to use the custom API code and configuration we develop for your project. Heirapi retains ownership of our underlying frameworks, methodologies, and pre-existing tools. You may not resell, redistribute, or sublicense the deliverables without our prior written consent.

Termination and Suspension

Either party may terminate an engagement with written notice if the other party breaches a material obligation and fails to remedy it within 14 days. Upon termination, you pay for work completed up to the termination date. We may suspend work if invoices remain unpaid for more than 30 days, with notice provided before suspension takes effect.

Changes to These Terms

We may update these terms from time to time to reflect changes in our services or legal requirements. The current version is always available on this page, and continued use of our services after changes are posted constitutes acceptance of the revised terms.
